Vendor Agreement

Agreement Version: 1.0 | Effective Date: October 18, 2026

This Vendor Agreement governs the relationship between ShoppingSuru and vendors who list and sell products through the ShoppingSuru marketplace.

Important: By registering as a vendor, electronically accepting this Agreement, submitting products for approval, or selling products through ShoppingSuru, the vendor agrees to comply with this Agreement and the policies referenced in it.
This Agreement is intended to operate as an electronic marketplace agreement between ShoppingSuru and the vendor. The final version should be reviewed by a Nepal-qualified legal professional before commercial launch.

1. Parties

This Agreement is entered into between:

  • Marketplace: ShoppingSuru, operated by [INSERT LEGAL BUSINESS NAME].
  • Vendor: The individual, firm, company, or other business entity approved to sell through ShoppingSuru.

The vendor's registered business information should be maintained accurately in the ShoppingSuru vendor account.

2. Nature of the Marketplace

ShoppingSuru operates as an online marketplace that facilitates transactions between independent vendors and customers.

Unless expressly stated otherwise, the vendor remains responsible for the products that it lists and supplies through the marketplace.

ShoppingSuru operates the marketplace environment and may facilitate listing, order processing, customer communication, payment, delivery coordination, returns, exchanges, refunds, and other transaction-related functions.

3. Vendor Eligibility and Verification

A vendor must provide accurate information requested by ShoppingSuru during registration, verification, or continued marketplace use.

Depending on the vendor and applicable law, ShoppingSuru may request:

  • Legal/business name.
  • Business or store address.
  • Owner or authorized representative information.
  • Business registration information where applicable.
  • PAN/VAT information where applicable.
  • Telephone number and email address.
  • Store information.
  • Information reasonably required for payout processing.
  • Documents reasonably required to verify the vendor or products.

ShoppingSuru may reject, suspend, or delay vendor approval where required information is incomplete, inaccurate, unverifiable, or raises reasonable compliance concerns.

4. Vendor Registration Information

Vendors must ensure that all information provided to ShoppingSuru remains accurate and reasonably current.

A vendor must promptly notify ShoppingSuru of material changes to:

  • Business ownership.
  • Business registration status.
  • PAN/VAT status where applicable.
  • Business address.
  • Contact details.
  • Payout information.
  • Other material information supplied during verification.

5. Vendor Acceptance of the Agreement

The vendor must electronically accept the current version of this Agreement before placing products for sale through ShoppingSuru, unless otherwise permitted by ShoppingSuru under a separate written arrangement.

ShoppingSuru may retain an electronic record of:

  • Vendor account ID.
  • Agreement version accepted.
  • Date and time of acceptance.
  • Relevant electronic acceptance record.
Vendor acknowledgement: By accepting this Agreement electronically, the vendor confirms that it has had an opportunity to review this Agreement and the marketplace policies applicable to its activities.

6. Product Listing Requirements

Vendors must provide accurate and complete product information.

Depending on the product, the vendor should provide:

  • Product name.
  • Category.
  • Brand information where applicable.
  • Product description.
  • Material/composition.
  • Colour.
  • Size and measurements.
  • Product photographs.
  • Available quantity.
  • Selling price.
  • Warranty or guarantee information where applicable.
  • Return/exchange information.
  • Manufacturer or supplier information where required.
  • Other information required by ShoppingSuru or applicable law.

Vendors must not intentionally provide false, incomplete, misleading, or materially inaccurate product information.

7. Product Photographs and Descriptions

Vendors are responsible for ensuring that their uploaded photographs, videos, descriptions, logos, trademarks, and other content are accurate and lawfully used.

Images must reasonably represent the product offered for sale.

Vendors must not intentionally use photographs of a substantially different product to mislead customers.

8. Product Quality

Products supplied to customers must reasonably correspond with the product listing and order.

Vendors are responsible for:

Product condition

Products should be supplied in the condition represented in the listing.

Accuracy

Product specifications must be materially accurate.

Authenticity

Products must not be falsely represented as genuine, original, or branded.

Legal compliance

Vendors may only list products they are legally permitted to sell.

9. Counterfeit and Prohibited Products

Vendors must not list or sell through ShoppingSuru:

  • Counterfeit or fake branded products.
  • Stolen or unlawfully obtained products.
  • Products falsely represented as authentic.
  • Products that require a licence or authorization that the vendor does not possess.
  • Products prohibited by applicable Nepalese law.
  • Products materially misrepresented in the listing.
  • Products that infringe another person's intellectual-property rights.

ShoppingSuru may remove, disable, or restrict a listing where there are reasonable grounds to suspect a prohibited or unlawful product.

Serious violations may result in immediate account suspension or termination.

10. Inventory and Availability

Vendors must make reasonable efforts to keep inventory information accurate.

Vendors should not accept or maintain an active marketplace listing for products that are unavailable for fulfilment.

Repeated cancellations caused by inaccurate inventory may result in warnings, restrictions, reduced marketplace visibility, suspension, or termination.

11. Pricing

Vendors are responsible for providing accurate selling prices.

Vendors must not intentionally create misleading prices or fake discounts.

Promotional pricing may be subject to separate campaign or promotion terms agreed with ShoppingSuru.

12. Order Acceptance and Fulfilment

When a vendor receives a ShoppingSuru order, the vendor must promptly process it according to the applicable marketplace requirements.

The vendor must:

  • Confirm product availability.
  • Prepare the correct product.
  • Check size, colour, quantity, and other order details.
  • Package the product appropriately.
  • Make the order ready within the required processing timeframe.
  • Hand the package to the designated delivery process/provider.
  • Update order information when required by ShoppingSuru.

13. Scheduled Delivery

ShoppingSuru may allow customers to select a delivery date and time slot at checkout.

Vendors must make reasonable efforts to prepare the order sufficiently in advance to support the selected delivery date and time slot.

Repeated vendor delays that prevent scheduled delivery may result in marketplace performance action.

14. Packaging Requirements

Vendors must use packaging that is reasonably appropriate for the product and normal transportation conditions.

Products should be protected against:

  • Reasonable handling during transportation.
  • Dust and contamination where applicable.
  • Weather exposure where reasonably foreseeable.
  • Damage caused by inadequate packaging.

Where avoidable damage is caused by inadequate vendor packaging, ShoppingSuru may treat the resulting return/replacement as vendor fault.

15. Delivery Responsibility

Vendors are responsible for correctly preparing and handing over products for delivery.

Once a package has been handed over to the designated delivery process, delivery may be coordinated by ShoppingSuru and/or its delivery partner according to the applicable delivery arrangement.

Vendors must cooperate with reasonable delivery investigations when a customer reports a delivery or product problem.

16. Customer Service and Communication

Vendors must cooperate with ShoppingSuru in resolving customer questions, complaints, returns, exchanges, and warranty matters related to the vendor's products.

Vendors must not intentionally provide customers with false, threatening, abusive, or misleading information.

17. Returns, Exchanges and Refunds

Vendors agree to comply with ShoppingSuru's Refund, Return & Exchange Policy and applicable law.

Vendors must cooperate with legally valid return, exchange, replacement, warranty, or refund requests.

A vendor must not refuse a return merely because the vendor's own preference is to offer “no returns” where the customer has an applicable legal or marketplace right.

18. Vendor-Fault Returns

The following are examples of vendor-fault situations:

  • Wrong product supplied.
  • Wrong size supplied when the customer ordered correctly.
  • Wrong colour supplied.
  • Defective product.
  • Materially inaccurate product listing.
  • Materially different product supplied.
  • Missing item or component.
  • Counterfeit or falsely represented product.
  • Avoidable product damage caused by inadequate packaging.
Vendor-fault costs: Where a return or re-delivery is determined to result from vendor fault, the vendor may be responsible for the applicable return, replacement, or re-delivery cost in accordance with this Agreement.

19. Customer-Attributable Returns

Where ShoppingSuru permits a discretionary return or exchange and the issue is genuinely attributable to the customer, the customer may bear the applicable return or re-delivery cost.

Examples can include selecting the wrong size despite accurate size information or providing an incorrect delivery address.

Vendors must not incorrectly classify a vendor-fault issue as customer fault.

20. Return Inspection and Evidence

ShoppingSuru may request evidence from both the customer and vendor when determining a return or refund issue.

Vendors may be required to provide:

  • Product photographs.
  • Packaging information.
  • Dispatch information.
  • Stock details.
  • Product specifications.
  • Relevant warranty or supplier information.
  • Other reasonably necessary evidence.

21. Commission

ShoppingSuru charges vendors a marketplace commission for completed qualifying sales.

Commission Stage Rate
Launch / Introductory Rate 5%
Future Standard Rate Up to 10%

The applicable commission rate for a vendor will be communicated through ShoppingSuru's current Commission & Payout Policy or applicable commercial agreement.

22. Commission Calculation

Unless otherwise stated in a written commercial arrangement, commission is calculated on the actual commissionable product sale value after applicable vendor-funded discounts.

Standard delivery charges are not included in the commission base unless expressly stated.

Example: If a product has a commissionable selling value of NPR 2,000 and the applicable commission rate is 5%, the ShoppingSuru commission is NPR 100, before any other applicable adjustments.

The final accounting treatment of commission, taxes, discounts, payment charges, and other amounts is subject to applicable tax/accounting requirements and the vendor's commercial agreement with ShoppingSuru.

23. Weekly Vendor Payouts

ShoppingSuru's standard vendor payout schedule is weekly.

Approved vendor balances are normally settled on a weekly basis, subject to:

  • Completed orders.
  • Payment confirmation.
  • Applicable return or refund adjustments.
  • Commission deductions.
  • Approved delivery-related deductions.
  • Payment reversals or charge disputes.
  • Other lawful or contractually permitted adjustments.

A transaction that is subject to an unresolved dispute, return, refund, fraud investigation, payment reversal, or similar issue may be temporarily held until the matter is resolved, to the extent permitted by the Vendor Agreement and applicable law.

24. Vendor Payout Statement

Where supported by the marketplace system, ShoppingSuru may provide vendors with a payout statement showing relevant amounts such as:

  • Order value.
  • Commission.
  • Refund or return adjustments.
  • Delivery-related deductions where applicable.
  • Other applicable adjustments.
  • Final payable amount.

25. Returns and Commission Adjustments

Where an order is legitimately refunded, ShoppingSuru may reverse or adjust the related commission as appropriate.

Where only part of an order is returned, commission may be adjusted for the affected product(s).

26. Vendor Responsibility for Marketplace Costs

Where a marketplace cost arises because of vendor fault, ShoppingSuru may recover the applicable amount from the vendor's payable balance where permitted by this Agreement and applicable law.

Examples may include:

  • Approved vendor-fault return shipping.
  • Vendor-caused re-delivery.
  • Refund-related adjustments caused by vendor error.
  • Other documented vendor-attributable marketplace costs.

27. Customer Personal Information

Vendors may receive customer information necessary to fulfil ShoppingSuru orders.

Vendors must use customer information only for legitimate:

  • Order fulfilment.
  • Delivery coordination.
  • Return/exchange processing.
  • Customer service related to the relevant transaction.

Vendors must not:

  • Sell customer information.
  • Publish customer information.
  • Use customer information for unrelated marketing without lawful permission.
  • Share customer information with unrelated third parties.
  • Use customer data to deliberately bypass ShoppingSuru.

28. Off-Platform Circumvention

Vendors must not intentionally divert ShoppingSuru customers away from the marketplace by using ShoppingSuru-provided customer, order, or transaction information.

Examples include asking a customer to cancel a ShoppingSuru order and complete the transaction directly with the vendor through another channel.

Why this matters: ShoppingSuru invests in the marketplace, customer acquisition, payment systems, delivery coordination, support, and vendor services. Deliberate circumvention undermines the marketplace relationship and may result in account restrictions or termination.

29. Reviews and Ratings

Vendors must not manipulate ShoppingSuru reviews or ratings.

Vendors must not:

  • Review their own products while pretending to be customers.
  • Ask others to create fake reviews.
  • Purchase fake reviews.
  • Threaten or improperly pressure customers to change reviews.
  • Manipulate ratings through multiple accounts.

30. Intellectual Property

Vendors represent that they have the necessary rights or permissions to use the photographs, videos, descriptions, trademarks, logos, and other content they upload.

Vendors must not knowingly upload content that infringes another person's copyright, trademark, design, or other intellectual-property rights.

The vendor grants ShoppingSuru a non-exclusive, limited licence to display and use approved vendor content for:

  • Marketplace listings.
  • ShoppingSuru website/app functionality.
  • Marketplace search and recommendations.
  • ShoppingSuru advertising and promotional activities.
  • Social-media or other marketing of the vendor's listed products.

31. Vendor Advertising and Promotions

Vendors may participate in ShoppingSuru promotional campaigns subject to the applicable campaign terms.

Vendors must not provide misleading claims about:

  • Product quality.
  • Brand authenticity.
  • Discount amount.
  • Original/reference price.
  • Product availability.
  • Warranty or guarantee.

32. Communication With Customers

Vendor communication with customers must remain professional, accurate, and reasonably related to the transaction.

Vendors must not use customer communications to:

  • Harass or threaten customers.
  • Collect unnecessary personal information.
  • Redirect customers away from ShoppingSuru for unauthorized transactions.
  • Request passwords, OTPs, payment PINs, or other sensitive credentials.

33. Compliance With Applicable Law

Vendors are responsible for complying with laws and regulations applicable to their business, products, advertising, taxation, consumer obligations, intellectual property, licensing, and other commercial activities.

ShoppingSuru may request reasonable evidence of compliance where required for marketplace operation or applicable law.

34. Vendor Performance Monitoring

ShoppingSuru may monitor vendor performance using marketplace information such as:

  • Order cancellation rate.
  • Late fulfilment or dispatch rate.
  • Customer ratings.
  • Vendor-fault return rate.
  • Complaint frequency.
  • Defective product reports.
  • Product-policy violations.

ShoppingSuru may use this information to improve marketplace quality, determine vendor status, provide warnings, or apply marketplace restrictions.

35. Vendor Warnings and Corrective Action

Where a vendor repeatedly fails to meet marketplace standards, ShoppingSuru may use measures such as:

  • Performance warning.
  • Corrective-action request.
  • Temporary listing restrictions.
  • Reduced marketplace visibility.
  • Temporary suspension.
  • Termination.

Serious misconduct may justify immediate action without a progressive-warning process.

36. Suspension of Vendor Account

ShoppingSuru may suspend a vendor account where reasonably appropriate, including for:

  • Fraud or suspected fraud.
  • Counterfeit products.
  • Repeated customer complaints.
  • Repeated vendor-fault returns.
  • Repeated order cancellations.
  • Repeated failure to fulfil orders.
  • Misleading product information.
  • Fake review manipulation.
  • Customer-data misuse.
  • Intellectual-property complaints.
  • Unlawful activity.
  • Material breach of this Agreement.

37. Immediate Suspension or Termination

ShoppingSuru may take immediate action where it reasonably believes that a vendor poses a serious risk to customers, the marketplace, payment systems, legal compliance, or other users.

Serious examples may include:

  • Counterfeit goods.
  • Fraudulent activity.
  • Stolen goods.
  • Serious customer-data misuse.
  • Repeated deliberate misrepresentation.
  • Illegal products or activities.

38. Termination

Either ShoppingSuru or the vendor may end the marketplace relationship in accordance with the applicable notice requirements.

Termination does not automatically remove obligations concerning:

  • Outstanding customer orders.
  • Pending returns and refunds.
  • Outstanding commissions or adjustments.
  • Customer-data protection.
  • Confidentiality.
  • Intellectual-property rights.
  • Dispute resolution.
  • Amounts already owed.
  • Applicable legal obligations.

39. Vendor Responsibility for Claims

Where legally appropriate, the vendor remains responsible for claims, losses, costs, or liabilities arising from the vendor's:

  • Unlawful products.
  • Counterfeit goods.
  • Misrepresentation.
  • Intellectual-property infringement.
  • Breach of this Agreement.
  • Unauthorized use of customer information.
  • Other vendor-attributable misconduct.
Legal review required: The exact scope and enforceability of any indemnity or vendor liability provision should be reviewed by a Nepal-qualified lawyer before this Agreement is treated as a final legal contract.

40. Confidentiality

Vendors must keep confidential information received through their relationship with ShoppingSuru reasonably protected and must not disclose it except where necessary for lawful business purposes.

41. Records and Cooperation

Vendors must cooperate with reasonable ShoppingSuru requests for transaction, product, return, delivery, complaint, warranty, or compliance information.

Vendors should retain appropriate business and transaction records in accordance with applicable law.

42. Changes to the Vendor Agreement

ShoppingSuru may update this Agreement to reflect changes in:

  • Marketplace operations.
  • Commission and payout arrangements.
  • Technology.
  • Delivery arrangements.
  • Legal or regulatory requirements.
  • Marketplace quality standards.

Where a material change affects existing vendors, ShoppingSuru should provide reasonable notice before the change becomes applicable, except where immediate action is required for legal, security, fraud-prevention, or other legitimate reasons.

43. Electronic Communications

The vendor agrees that ShoppingSuru may communicate with the vendor electronically regarding:

  • Orders.
  • Returns and refunds.
  • Vendor payouts.
  • Policy updates.
  • Performance warnings.
  • Account status.
  • Marketplace announcements.

44. Relationship With Other Policies

This Vendor Agreement should be read together with the applicable ShoppingSuru marketplace policies, including:

45. Governing Law

This Agreement is governed by the laws of Nepal.

Nothing in this Agreement is intended to remove a right, obligation, or remedy that cannot lawfully be excluded.
